Introduction

Welcome to ACTXION. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ACTXION Limited ("ACTXION", "we", "us", or "our"), governing your access to and use of the ACTXION mobile application, website, and all associated services, campaigns, features, and promotions, including but not limited to the Fan Ball Relay campaign (collectively, the "Platform").

By downloading, installing, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must immediately cease all use of the Platform and delete your account.

These Terms apply globally to all users irrespective of their country of residence, and ACTXION reserves the right to restrict, modify, or terminate access for users in any jurisdiction at its sole discretion.

 

1. Definitions

In these Terms, the following words and expressions shall have the meanings set out below, unless the context requires otherwise.

"Account" means the registered profile created by a User on the Platform. "Campaign" means any promotional activity, event, contest, or programme made available through the Platform, including the Fan Ball Relay. "Content" means all text, images, video, audio, data, predictions, statistics, commentary, and any other material made available on or through the Platform, whether generated by ACTXION, third parties, artificial intelligence, or Users. "Fan Ball Relay" means the promotional campaign operated by ACTXION as further described in Section 14 of these Terms. "Intellectual Property Rights" means all patents, trade marks, service marks, trade names, domain names, copyrights, design rights, database rights, and all other proprietary rights of whatever nature. "Platform" has the meaning given in the Introduction. "Points" means any virtual credits, tokens, scores, badges, or rewards made available through the Platform's gamification systems. "Services" means all features, functions, tools, and content provided through the Platform.

 

2. Eligibility

To access and use the Platform, you must be at least thirteen (13) years of age. If you are under eighteen (18) years of age, you must have obtained the express consent of a parent or legal guardian prior to using the Platform, and by using the Platform you represent that such consent has been obtained. ACTXION reserves the right to request verification of age at any time and to immediately suspend or terminate any account that cannot demonstrate compliance with this requirement.

By creating an account or otherwise using the Platform, you represent and warrant that: (a) you have the full legal capacity to enter into binding contracts under the laws of your jurisdiction; (b) all registration information you provide is accurate, complete, and current; (c) your use of the Platform does not violate any applicable law or regulation; and (d) you are not prohibited from using the Platform under any sanctions regime, export control law, or order of any court or regulatory authority.

ACTXION reserves the right to decline registration, suspend, or permanently terminate any account at its sole and absolute discretion, with or without notice, and without liability to you.

 

3. Account Registration and Security

In order to access certain features of the Platform, you may be required to create an account. When registering, you agree to provide truthful, accurate, and complete information and to update such information as necessary to keep it current. You are solely responsible for all activity that occurs under your account.

You must treat your account credentials, including your password and any two-factor authentication codes, as strictly confidential. You must not disclose your credentials to any third party, permit any other person to access the Platform using your account, or transfer your account to another person. ACTXION will not be liable for any loss or damage arising from unauthorised access to your account resulting from your failure to keep your credentials secure.

You must notify ACTXION immediately at dataprotection@actxion.com if you suspect any unauthorised use of your account or any breach of security. ACTXION reserves the right to require you to change your credentials at any time if it believes your account security may have been compromised.

 

4. Acceptable Use

Your access to and use of the Platform is conditional upon your compliance with these Terms and all applicable laws and regulations. You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of any third party or restrict or inhibit anyone else's use or enjoyment of the Platform.

Without prejudice to the generality of the foregoing, you must not: (a) post, upload, or transmit any content that is unlawful, defamatory, obscene, offensive, hateful, discriminatory, or otherwise objectionable; (b) harass, abuse, threaten, stalk, or otherwise harm any other user or third party; (c) impersonate any person or entity, or misrepresent your affiliation with any person or entity; (d) attempt to gain unauthorised access to any part of the Platform, its servers, databases, or systems; (e) introduce any virus, malware, ransomware, or other harmful code; (f) use automated scripts, bots, scrapers, or other automated means to access, collect data from, or interact with the Platform without ACTXION's prior written consent; (g) engage in any activity that could damage, overload, impair, or disrupt the Platform or the servers and networks connected to it; (h) circumvent or attempt to circumvent any security, technical, or access control measures on the Platform; (i) use the Platform for any commercial purpose, advertising, or solicitation without ACTXION's express written consent; or (j) post or transmit any unsolicited advertising or promotional materials.

ACTXION reserves the right, at its sole discretion, to determine whether any conduct constitutes a violation of this Section and to take any action it deems appropriate, including removal of content, account suspension, or permanent termination, without prior notice and without liability to you.

 

5. User-Generated Content

The Platform may allow you to submit, post, upload, or share content, including comments, predictions, images, and other material ("User Content"). You retain ownership of any intellectual property rights in User Content that you create, subject to the licence granted in this Section.

By submitting User Content to the Platform, you grant ACTXION a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully sub-licensable, and fully transferable licence to use, copy, reproduce, process, adapt, modify, publish, transmit, display, distribute, and create derivative works of such User Content in any and all media formats and channels now known or hereafter developed, for any purpose, including commercial purposes, in connection with the operation, promotion, or improvement of the Platform, without compensation to you and without any obligation to seek further consent from you.

You represent and warrant that: (a) you own or have the necessary rights and permissions to grant the licence above; (b) your User Content does not infringe any third-party Intellectual Property Rights, privacy rights, or any other rights; and (c) your User Content complies with these Terms and all applicable laws.

ACTXION does not endorse any User Content and expressly disclaims all liability in connection with User Content. ACTXION reserves the right, but not the obligation, to monitor, edit, refuse, or remove any User Content at any time and for any reason, without notice and without liability.

 

6. Artificial Intelligence and AI-Generated Content

The Platform may incorporate artificial intelligence and machine learning technologies to provide personalised experiences, generate content, produce match predictions, create summaries and insights, and perform other functions ("AI Features"). AI-generated content is provided for informational and entertainment purposes only.

You acknowledge and agree that AI-generated content may not be accurate, complete, current, or reliable. ACTXION makes no warranty or representation of any kind regarding the accuracy, reliability, or completeness of any AI-generated output. Any predictions, analyses, recommendations, or insights produced by AI Features should not be relied upon as a substitute for professional advice, and ACTXION expressly disclaims all responsibility for any decision made by you in reliance upon AI-generated content.

ACTXION reserves the right to modify, update, disable, or remove any AI Feature at any time and without notice. The manner in which AI Features operate, the data used to train or inform them, and the outputs they produce may change at any time at ACTXION's sole discretion.

 

7. Sports Data and Third-Party Content

The Platform may display live scores, match statistics, league tables, odds, news, and other sports-related data sourced from third-party data providers. ACTXION does not generate this data and does not guarantee its accuracy, timeliness, or completeness. Such data is provided on an "as is" basis and ACTXION accepts no responsibility for errors, omissions, interruptions, or any inaccuracies in third-party sports data.

The Platform may also contain links to, or content from, third-party websites, applications, or services. ACTXION does not endorse, control, or assume any responsibility for the content, privacy practices, or policies of any third-party services. Your access to and use of any third-party services is entirely at your own risk and subject to the applicable third-party terms and conditions.

 

8. Gamification, Points, Badges, and Rewards

The Platform may offer a variety of gamification features including but not limited to Points, badges, leaderboards, streaks, challenges, achievements, and virtual rewards (collectively, "Rewards"). All Rewards are awarded at ACTXION's sole discretion and are subject to the rules applicable at the time of award.

Points and all other Rewards are virtual in nature and have no monetary value unless ACTXION expressly and explicitly states otherwise in writing. Rewards may not be exchanged, redeemed, transferred, or sold for cash, goods, or services except to the extent expressly stated in any applicable promotion rules published by ACTXION. Rewards are non-transferable, may not be combined with other offers unless expressly stated, and expire in accordance with the rules applicable at the time of award, or upon account termination.

ACTXION reserves the right at any time and without prior notice to modify, suspend, reduce, cancel, reset, or entirely discontinue the Rewards system or any element thereof, to change the criteria for earning or redeeming Rewards, and to adjust or remove Rewards from any account for any reason, including suspected fraudulent or abusive conduct. Any such changes shall not give rise to any claim, liability, or compensation on the part of ACTXION.

Any fraudulent conduct relating to the Rewards system, including creating multiple accounts, exploiting bugs or errors, manipulating any feature, or any other dishonest activity, will result in the immediate forfeiture of all accrued Rewards and the suspension or permanent termination of the relevant account(s). ACTXION may take further legal action where appropriate.

 

9. Invite, Referral, and Affiliate Programmes

ACTXION may from time to time offer referral, invite, or affiliate programmes through which existing users may earn Rewards for recruiting new users to the Platform. The specific terms and conditions applicable to any such programme, including the type and amount of reward, eligibility criteria, and qualifying conditions, will be set out in programme-specific rules published by ACTXION and incorporated into these Terms by reference.

ACTXION reserves the right to modify the terms of, suspend, or permanently terminate any referral, invite, or affiliate programme at any time without notice and without liability. All decisions regarding the award of referral Rewards are final. Abuse of any referral or affiliate programme, including but not limited to the creation of fake accounts, self-referral, or any other manipulation of the system, will result in the forfeiture of all Rewards and account suspension or termination.

 

10. Subscriptions, Payments, and Refunds

Certain features of the Platform may require payment of a subscription fee or one-time charge. All prices are displayed on the Platform at the point of purchase and are inclusive of any applicable taxes where required by law. Payments are processed through third-party payment processors and are subject to their respective terms and conditions.

All fees paid are non-refundable to the fullest extent permitted by applicable law, except where ACTXION is required to provide a refund under consumer protection legislation applicable in your jurisdiction. You acknowledge that you are responsible for all charges incurred through your account. Subscriptions will automatically renew at the end of each billing period unless cancelled by you in accordance with the cancellation procedures available through your applicable app store or account settings prior to the renewal date.

ACTXION reserves the right to modify the pricing of any paid features at any time. Where a price increase affects your existing subscription, ACTXION will provide reasonable notice in advance of the change taking effect. Continued use of the Platform following the effective date of any price change will constitute your acceptance of the new pricing.

 

11. Intellectual Property

The Platform and all Content provided by ACTXION, including but not limited to software, code, design, graphics, logos, trade marks, service marks, text, images, video, and audio (excluding User Content and third-party content), are the exclusive property of ACTXION or its licensors and are protected by applicable Intellectual Property Rights laws worldwide.

Nothing in these Terms shall be construed as conferring upon you any right, title, or interest in or to any ACTXION Intellectual Property Rights. You may not reproduce, distribute, publicly perform or display, modify, adapt, translate, or create derivative works from any ACTXION Content without prior written authorisation from ACTXION. Any unauthorised use of ACTXION's Intellectual Property is strictly prohibited and may result in civil and criminal liability.

ACTXION respects the Intellectual Property Rights of others. If you believe that any Content on the Platform infringes your rights, please notify us at dataprotection@actxion.com with full details of your claim.

 

12. Privacy and Data Protection

ACTXION collects, uses, and processes personal data in accordance with its Privacy Policy, which is available on the Platform and incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal data as described in the Privacy Policy.

The Platform may employ cookies, pixel tags, analytics tools, and other tracking technologies to collect information about your use of the Platform, your device, and your preferences. You can manage certain cookie preferences through your browser settings or the cookie management tool within the Platform, though some functionality may be impaired if you choose to disable certain cookies.

ACTXION may share anonymised, aggregated, or pseudonymised data with third-party partners for analytics, research, and product improvement purposes. ACTXION will not sell your personal data to third parties without your consent except as described in the Privacy Policy or required by law.

 

13. Termination and Suspension

ACTXION reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to any part or all of the Platform, with or without notice, for any reason whatsoever, including but not limited to your actual or suspected breach of these Terms, any fraudulent or unlawful conduct, extended periods of account inactivity, or for any business reason that ACTXION deems appropriate.

You may delete your account at any time by using the account deletion function available within your account settings. Deletion of your account will result in the permanent loss of all associated data, Points, Rewards, and any other benefits accrued through the Platform, and no compensation will be due.

Upon termination of your account for any reason, all licences granted to you under these Terms shall immediately cease, and you must immediately cease all use of the Platform. ACTXION shall have no liability to you as a result of any termination or suspension of your account, however caused. Any accrued rights and obligations, and those provisions of these Terms which by their nature should survive termination, shall continue in force following termination.

 

14. Fan Ball Relay Campaign

14.1 Overview and Nature of the Campaign

The Fan Ball Relay (the "Campaign") is a promotional campaign operated by ACTXION. The Campaign is designed to engage sports fans and drive community participation through the Platform. All aspects of the Campaign, including its rules, structure, prizes, participating clubs, schedule, and mechanics, are subject to these Terms and any supplementary Campaign Rules published by ACTXION from time to time.

 

14.2 Eligibility for the Campaign

Participation in the Campaign is open to users who meet the general eligibility requirements set out in Section 2 of these Terms. Additional eligibility criteria may apply to specific elements of the Campaign and will be set out in supplementary Campaign Rules. ACTXION reserves the right to exclude any individual from the Campaign at its sole discretion.

14.3 Campaign Mechanics

The specific mechanics, rules, deadlines, and participation methods for the Campaign will be communicated through the Platform and any supplementary Campaign Rules. Users agree that they are solely responsible for understanding and complying with the applicable Campaign Rules. ACTXION is not responsible for any failure by a user to participate correctly or within the specified timeframes.

14.4 ACTXION's Absolute Right to Modify the Campaign

ACTXION reserves the absolute and unconditional right, at any time and without prior notice or explanation, to modify, amend, suspend, extend, shorten, cancel, or permanently terminate the Campaign or any element thereof, including but not limited to the prizes, rules, schedule, participating teams, mechanics, eligibility criteria, and any associated Rewards or Points. This right applies without restriction and shall not give rise to any liability, obligation, compensation, or claim on the part of ACTXION to any user or third party.

In the event of any discrepancy, conflict, or ambiguity between the general Terms and any supplementary Campaign Rules, ACTXION's decision shall be final and binding. ACTXION's interpretation of the Campaign Rules and any eligibility determination is conclusive and not subject to appeal.

14.5 Prizes and Rewards

Any prizes, Rewards, or benefits associated with the Campaign are subject to availability and to the supplementary Campaign Rules applicable at the time. Prizes have no cash equivalent and may not be transferred, assigned, or exchanged for other prizes except at ACTXION's sole discretion. ACTXION makes no warranty regarding the availability, quality, or fitness for purpose of any Campaign prize.

Where a prize involves the participation of or partnership with any sports club, broadcaster, venue, or other third party, ACTXION shall have no liability in the event that such third party is unable or unwilling to fulfil its obligations for any reason. ACTXION may substitute an equivalent or alternative prize at its sole discretion without liability.

14.6 Winner Selection and Verification

Winners of any Campaign prizes will be selected in accordance with the supplementary Campaign Rules. All winners are subject to verification and must comply with any verification procedures specified by ACTXION, including proof of identity and eligibility. ACTXION reserves the right to disqualify any winner who cannot be verified or who has obtained any advantage through dishonest means, and to award the relevant prize to an alternative eligible participant. All decisions regarding winners are final and binding.

14.7 Publicity

By participating in the Campaign, you grant ACTXION the right to use your name, username, likeness, image, and any User Content submitted in connection with the Campaign for promotional and marketing purposes across any media platform, without additional compensation to you, unless prohibited by applicable law.

14.8 Tax and Other Costs

Recipients of any Campaign prize are solely responsible for any and all taxes, duties, levies, or other costs arising from or in connection with the receipt or use of any prize. ACTXION shall have no obligation to notify or advise any winner of any applicable tax obligations.

 

15. Disclaimers and Exclusions of Liability

The Platform and all Content, features, and Services provided through it are made available on an "as is" and "as available" basis, without any warranty, representation, or condition of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permissible under applicable law, ACTXION hereby excludes all implied warranties and conditions, including without limitation any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

ACTXION does not warrant that: (a) the Platform will be available continuously, uninterrupted, timely, or error-free; (b) any defects in the Platform will be corrected; (c) the Platform or its servers are free from viruses or harmful components; (d) any Content, including sports data, AI-generated content, or third-party content, is accurate, current, or complete; or (e) the Platform will meet your requirements or expectations.

To the maximum extent permitted by applicable law, ACTXION shall not be liable for any loss or damage of any kind, whether direct, indirect, incidental, special, exemplary, consequential, or otherwise, including but not limited to loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or in connection with: (a) your access to or use of, or inability to access or use, the Platform; (b) any Content on the Platform; (c) any unauthorised access to or alteration of your transmissions or data; (d) any actions or omissions of any third-party service provider; (e) any bugs, viruses, or other malicious code; or (f) any decisions made in reliance on AI-generated content, match predictions, or sports data.

Nothing in these Terms shall limit or exclude ACTXION's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

 

16. Indemnification

You agree to indemnify, defend, and hold harmless ACTXION, its directors, officers, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your breach of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights; or (f) your participation in the Campaign or any other promotion.

ACTXION reserves the right to assume exclusive control of the defence of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with ACTXION in asserting any available defences.

 

17. Changes to the Platform and Services

ACTXION reserves the right, at any time and without notice or liability, to modify, update, enhance, reduce, restrict, suspend, or permanently discontinue the Platform or any part of it, including any features, Services, pricing, or availability. This includes the right to add new features or impose new restrictions on existing features. ACTXION shall have no obligation to maintain or continue to provide any feature, Service, or content on the Platform.

 

18. Amendments to These Terms

ACTXION reserves the right to revise and update these Terms at any time by posting the amended Terms on the Platform. Where the changes are material, ACTXION will use reasonable endeavours to notify you by means of a notification within the Platform or by email, but is not obligated to do so in all circumstances. The effective date of the revised Terms will be stated at the top of the document.

Your continued access to or use of the Platform following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the amended Terms, your sole remedy is to immediately cease use of the Platform and delete your account. It is your responsibility to review these Terms periodically to stay informed of any updates.

 

19. Force Majeure

ACTXION shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond ACTXION's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, civil unrest, war, terrorism, government action, labour disputes, power failures, internet or telecommunications disruptions, cyberattacks, or changes in applicable law or regulation. In such circumstances, ACTXION's obligations will be suspended for the duration of the relevant event.

 

20. Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable by any court or competent authority, that provision shall be deemed severed from these Terms and the remainder of the Terms shall continue in full force and effect. The invalid or unenforceable provision shall, to the extent permitted, be modified to the minimum extent necessary to make it valid, legal, and enforceable.

 

21. Entire Agreement

These Terms, together with the Privacy Policy and any supplementary Campaign Rules or promotional terms published by ACTXION from time to time, constitute the entire agreement between you and ACTXION with respect to your use of the Platform and supersede all prior agreements, representations, warranties, and understandings, whether written or oral, relating to the same subject matter. No failure or delay by ACTXION to exercise any right under these Terms shall constitute a waiver of that right.

 

22. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you irrevocably submit to such jurisdiction, provided that ACTXION reserves the right to seek injunctive or other equitable relief in any jurisdiction as it deems appropriate.

You agree that, prior to initiating any formal legal proceedings, you will first attempt to resolve any dispute informally by contacting ACTXION at dataprotection@actxion.com, and that ACTXION will similarly endeavour to resolve the matter by good faith negotiation.
